Terms of sale

These Terms of Sale govern all sales of training programmes, Masterclasses, webinars, practical workshops, seminars, digital content and events offered under the AcuSeminars brand. AcuSeminars is a brand operated by AERIAL GROUP (SAS).

This English translation is provided for convenience only. The legally binding version is the French Conditions générales de vente; in the event of any discrepancy, the French version prevails.

2. Purpose, acceptance and version of these Terms

These Terms of Sale set out the conditions of sale, registration and access applying to the training programmes and events offered by AcuSeminars. Placing an order implies full and unreserved acceptance of these Terms of Sale.

Acceptance is obtained before any payment, by means of a mandatory tick box on the registration form. The date and time of that acceptance, together with the version of the Terms accepted, are recorded with the order and retained as evidence.

The Terms applicable to an order are those in force and published at acuseminars.com/cgv/ on the date of that order. AcuSeminars may amend them at any time; amendments have no effect on orders already placed. The reference version is the French one: translations, including this English version, are provided for information only and, in the event of any discrepancy, the French version prevails.

3. Training programmes offered

AcuSeminars offers online and in-person training programmes, Masterclasses, webinars, practical workshops, immersive seminars, digital content and teaching tools, intended for healthcare professionals. The essential characteristics of each programme or event (content, format, duration, prerequisites, assessment arrangements, price) are set out on the corresponding presentation pages.

AcuSeminars programmes are continuing professional development actions. They do not confer any new right to practise and do not replace any diploma or authorisation to practise: each participant applies them within the limits of their own profession and its regulations. Proof of practice (RPPS or ADELI number, or equivalent) may be requested at registration. Unless otherwise stated on the programme page, these programmes are eligible for neither the French DPC nor CPF schemes.

4. Prices and payment terms

Prices are stated in euros on each programme page. No VAT is charged in addition: the amount displayed is the total amount payable. The applicable price is the one displayed at the time of the order. An invoice or receipt is sent by e-mail after payment.

Payment is made by bank card through the secure payment platform used by AcuSeminars (Stripe). No bank details are collected or stored by AcuSeminars. Depending on the programme, several payment options may be offered: payment in full or in instalments. Where payment in instalments carries an additional cost, the total amount is stated on the programme page before ordering. Where offered, instalments are charged automatically on the dates stated, to the same payment method, with no further action required from the participant, and end automatically after the last instalment announced. AcuSeminars reserves the right to accept, on an exceptional basis, payment by bank transfer.

Where payment is made in instalments, the participant undertakes to pay all scheduled instalments. In the event of non-payment, AcuSeminars may suspend access to content, refuse access to the events concerned and require immediate payment of the amounts due.

Reduced rates and promotional codes. Some programmes may be offered at a reduced rate (in particular a solidarity rate) or with a promotional code. Such rates are granted subject to conditions, on production of supporting evidence, within the number of places provided for, and may not be combined with one another unless otherwise stated. AcuSeminars may request the corresponding evidence before access to the programme and, failing that, invoice the difference with the standard rate.

5. Registration, contract and third-party funding

Registration becomes effective once the order has been validated, these Terms of Sale accepted and full payment — or the first instalment where payment by instalments is offered — received. A confirmation e-mail is sent to the participant. Registrations are recorded in the order received, subject to available places.

A training agreement (convention de formation, where funding is provided by an employer or third party) or a vocational training contract (contrat de formation professionnelle, where the participant funds the programme themselves) is issued on request, and whenever the regulations so require, before the programme begins. A quotation and a detailed syllabus are available on request from info@acuseminars.com.

Where the programme is funded by an employer, a skills operator (OPCO) or any other funding body, the participant must state this before registering and provide the funding agreement. If no agreement is received before the programme begins, or if the funding body refuses or pays only part of the price, the price remains payable by the participant.

6. Access to content

Online training content is accessible through the platforms used by AcuSeminars (Teachable). Access to digital content (including replays) is guaranteed for a minimum period of 90 days from the date of purchase or, for programmes and events with live sessions, from the last live session of the edition concerned — whichever is later; AcuSeminars may extend such access without this constituting a contractual commitment.

Some programmes include live sessions, replays, private groups or in-person events; the exact arrangements are stated on each presentation page. Dates, venues, instructors and organisational arrangements may exceptionally be modified for technical, educational or organisational reasons, or in cases of force majeure; AcuSeminars will then inform participants as soon as possible. Access may be suspended in the event of non-compliance with these Terms of Sale.

7. Intellectual property

All content offered by AcuSeminars remains protected by intellectual-property law. Access is strictly personal, individual and non-transferable. Any reproduction, distribution, sharing, downloading, recording, resale or making available to third parties, even in part, is prohibited without prior written authorisation. Any commercial use or transmission to third parties is prohibited.

8. Participation, internal rules and discussion spaces

Participants undertake to behave respectfully towards instructors, the AcuSeminars team and other participants. The AERIAL GROUP internal rules (règlement intérieur) and the ethics charter apply to every programme and are made available to participants before it begins.

AcuSeminars reserves the right to suspend or withdraw access to a programme, private group or event, without refund, in the event of inappropriate behaviour, non-compliance with operating rules or unauthorised sharing of content.

9. Certificates and completion

Some programmes may lead to a certificate of participation or completion. The completion requirements are set out in the learning pathway of each programme. AcuSeminars reserves the right not to issue a certificate where the completion requirements are not met. A certificate of completion stating the objectives and nature of the action attended is issued in accordance with Article L6353-1 of the French Labour Code.

10. Right of withdrawal, cancellation and absence

10.1 — Nature of the services. AcuSeminars programmes and events may include digital content, online sessions scheduled for later dates, replays, discussion groups and in-person events. The rules applying to a cancellation depend on the participant's status and on how the programme is funded, as set out below.

10.2 — Registration in a professional capacity. AcuSeminars programmes are intended for healthcare professionals and are attended as part of their professional activity. The right of withdrawal granted to consumers by the French Consumer Code therefore does not apply to such registrations, subject to the specific case provided for in Article L221-3 of the Consumer Code and to clause 10.3 below.

10.3 — Programme funded by the participant personally. Where a natural person undertakes a programme personally and at their own expense, the vocational training contract provided for in Articles L6353-3 et seq. of the French Labour Code applies. The participant then has a ten (10) day right of withdrawal from the date the contract is signed; they must inform AcuSeminars by registered letter with acknowledgement of receipt, or by e-mail to info@acuseminars.com. In that case no sum may be claimed and any amounts already paid are refunded in full. On expiry of that period, and in accordance with Article L6353-5 of the Labour Code, no more than 30% of the agreed price may be claimed, the balance being spread over the programme as it proceeds; the participant concerned may accordingly choose the instalment plan offered for the programme, or request a suitable payment schedule by writing to info@acuseminars.com before ordering. Where the programme ends early because of AcuSeminars, or because the participant withdraws for a duly recognised case of force majeure, only the services actually provided are payable (Article L6353-7 of the Labour Code).

10.4 — Registration by a consumer. Where a registration is made by a consumer, that is to say outside any professional activity, that consumer has a fourteen (14) day right of withdrawal from the conclusion of the contract (Article L221-18 of the French Consumer Code); the model withdrawal form is available on request. That right can no longer be exercised, in accordance with Article L221-28 of the same code, where the service has been fully performed before the end of the period with the consumer's prior express agreement and express waiver of that right, nor for digital content supplied immediately where the consumer has expressly requested such supply before the end of the period and acknowledged losing their right of withdrawal. By confirming an order giving immediate access to digital content (by ticking the box accepting these terms of sale at payment), the consumer expressly requests such immediate supply before the withdrawal period expires and acknowledges losing the right of withdrawal as soon as that access is opened.

10.5 — Cancellation or withdrawal by the participant. Apart from the cases set out in clauses 10.3 and 10.4, any registration for an AcuSeminars programme, Masterclass, webinar, practical workshop or event is firm and final. It reserves a place in the session concerned and commits the teaching and organisational resources required to run it. No refund will be made in the event of cancellation or withdrawal at the participant's initiative, including where the programme starts at a date later than registration. On an exceptional basis, AcuSeminars may offer a deferral or a credit note, without this constituting an obligation. Any request must be sent by e-mail to info@acuseminars.com.

10.6 — Absence and substitution. Absence from a session, an in-person event or a live session gives rise to no refund, no price reduction and no extension of access beyond the period announced. A participant who is unable to attend may ask to be replaced by another healthcare professional meeting the programme prerequisites, subject to AcuSeminars' written agreement and to a request made no later than seven (7) days before the session begins.

10.7 — Cancellation or postponement by AcuSeminars. AcuSeminars may cancel or postpone a session, in particular where the number of participants is insufficient or in cases of force majeure. Participants are informed as soon as possible and are offered, depending on the situation, a transfer to a later session, a credit note or a full refund of the sums paid for the cancelled session. No other compensation may be claimed, in particular for travel or accommodation costs incurred by the participant.

11. Liability

The content, programmes and events offered by AcuSeminars are educational and informational in nature. They do not replace medical advice, a medical diagnosis or medical care. The information provided does not constitute a promise of results: the programmes are designed to develop professional skills and do not guarantee any individual clinical outcome.

The participant remains solely responsible for the use of the information and teaching received in the context of their personal or professional practice. AcuSeminars cannot be held liable for decisions, interpretations or applications made by participants, for inappropriate use of the content offered, or for technical interruptions beyond its control.

12. Legal guarantee (consumers)

A participant who is a consumer benefits from the legal guarantee of conformity for digital content and services provided for in Articles L224-25-12 et seq. of the French Consumer Code and, where applicable, from the legal guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code). These guarantees are exercised free of charge, by simple request to info@acuseminars.com.

13. Personal data

The personal data collected is used for order management, access to training programmes, customer relations and communications relating to AcuSeminars activities. It may be processed through the technical tools used by AcuSeminars for the management of training, payments and communications, in accordance with applicable regulations (GDPR). No health-related data is transmitted to the payment provider. Participants may exercise their rights of access, rectification or erasure by contacting info@acuseminars.com. Full details of the processing operations are set out in the privacy policy.

14. Accessibility, disability and complaints

AcuSeminars endeavours to make its programmes accessible to people with disabilities. Anyone concerned is invited to contact the disability officer at info@acuseminars.com, if possible before registering, so that possible adjustments — or, failing that, a suitable referral — can be considered.

Any complaint about an order, a programme or the way it was run may be sent to info@acuseminars.com. It will be acknowledged and answered within thirty (30) days.

15. Consumer mediation

In accordance with Articles L611-1 et seq. of the French Consumer Code, consumers may have free recourse to a consumer mediator in the event of a dispute that has not been resolved amicably. AERIAL GROUP is a member of the Centre de la Médiation de la Consommation de Conciliateurs de Justice (CM2C), an association approved by the French consumer-mediation evaluation and control commission (CECMC). Consumers may file a claim on www.cm2c.net or by post at: CM2C — 49 rue de Ponthieu, 75008 Paris, France.

16. Governing law

These Terms of Sale are governed by French law. In the event of a dispute, an amicable solution will be sought as a priority. Failing an amicable agreement, the competent courts will be those of the place where AERIAL GROUP has its registered office. This jurisdiction clause does not apply to consumers, who retain the right to bring proceedings before any of the courts available to them under the French Code of Civil Procedure.

17. Sale of equipment

17.1 — Products concerned. AcuSeminars sells equipment intended for healthcare professionals, in particular the Laser Pen, a laser stimulation device. These provisions supplement the preceding articles, which remain applicable; in the event of any contradiction, this article prevails for the sale of equipment.

17.2 — Prices and delivery. Prices are stated in euros, inclusive of all taxes and of shipping costs, with no supplement at the time of payment. Equipment is shipped within France and internationally, to the destinations offered at the time of the order, within an indicative period of 5 to 10 days from confirmation of payment. The delivery address is entered by the buyer at payment and may differ from the billing address; AcuSeminars is not liable for a delay or non-delivery attributable to an incorrect or incomplete address. Any customs duties, taxes or import charges applicable outside mainland France remain payable by the buyer.

17.3 — Transfer of risk. Risk of loss or damage passes on delivery of the goods to the buyer, in accordance with Article L216-4 of the French Consumer Code. Any damage must be reported to AcuSeminars as soon as possible, with the usual reservations recorded with the carrier.

17.4 — Right of withdrawal. In accordance with Articles L221-18 et seq. of the French Consumer Code, a buyer who is a consumer has fourteen (14) days from receipt of the goods to exercise their right of withdrawal, without having to give reasons. They inform AcuSeminars of their decision by an unambiguous statement sent to info@acuseminars.com. The goods must be returned in their original packaging, complete and in resaleable condition; return shipping costs are borne by the buyer. Reimbursement is made within fourteen days of receipt of the returned goods, or of proof of their dispatch. The buyer may be held liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature and characteristics.

17.5 — Legal guarantees. The equipment benefits from the legal guarantee of conformity (Articles L217-3 et seq. of the French Consumer Code), which entitles a consumer buyer to have the goods brought into conformity for two years from delivery, and from the guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code). These guarantees apply independently of any commercial warranty. They do not cover normal wear, batteries, or damage resulting from use not in accordance with the instructions.

17.6 — Safety and conditions of use. The Laser Pen is a class 3B device: looking directly into the beam is dangerous. The protective goggles supplied must be worn during use, and the beam must never be directed at the eyes. The device is intended for use by a healthcare professional within the scope of their profession; it is not a diagnostic device and does not replace medical advice. AcuSeminars cannot be held liable for any use that does not comply with these conditions or with the instructions supplied with the device.

17.7 — Availability. Orders are fulfilled subject to available stock. If unavailability is found after the order, the buyer is informed and reimbursed in full.
